Ultrajaya Postpones Shareholder Meeting: What Happens to Its Rights Issue?

PT Ultrajaya Milk Industry & Trading Company Tbk. has rescheduled its extraordinary general meeting of shareholders to November 6, 2026. The meeting was previously set for October 27 and is expected to consider a rights issue linked to the proposed acquisition of PT Frisian Flag Indonesia.

The delay means ULTJ shareholders will have to wait longer for a decision on the proposed share issuance and related transaction. IDXChannel reported that the schedule changed after Indonesia’s Financial Services Authority, or OJK, requested additional information about the corporate action.

A new meeting date does not mean the rights issue has been completed. Shareholder approval, final issuance terms, and completion of the transaction remain outstanding developments.

What Will Shareholders Decide?

One of the principal agenda items is an increase in capital through pre-emptive rights, commonly known as a rights issue. The proposed issuance is connected to the acquisition of shares in Frisian Flag Indonesia, a company within the FrieslandCampina group.

Shareholders are also scheduled to consider changes to the board of directors and commissioners, a proposed special dividend, and amendments to the company’s articles of association. Each item must be assessed against the meeting results and subsequent disclosures. Inclusion on the agenda does not mean an item has already been approved.

FrieslandCampina says Frisian Flag Indonesia is intended to become part of the Ultrajaya group. Completion remains subject to approval from Ultrajaya shareholders and the relevant Indonesian authorities. The companies are expected to continue operating as separate businesses with their own brands and organizations.

How Is the Rights Issue Connected to the Acquisition?

A rights issue gives eligible existing shareholders an opportunity to purchase newly issued shares under the announced terms. Once the issuance is completed, the number of shares outstanding can increase.

Ultrajaya’s proposal includes a feature that matters when assessing the transaction: an in-kind contribution, or inbreng. Instead of paying entirely in cash, a party contributes an asset in exchange for shares. According to IDNFinancials’ September 18 report, Frisian Flag Indonesia shareholders are expected to contribute their shares in that company to Ultrajaya as part of the transaction.

In return, the contributing parties would receive new Ultrajaya shares under the transaction terms. If the proposed structure is completed, Frisian Flag Indonesia would become an Ultrajaya subsidiary, while FrieslandCampina’s controlling interest would take effect upon completion.

This means the proposed issuance should not be read as if its entire value were cash proceeds. Shareholders need to consider the assets being contributed, the valuation of those assets, and the increase in shares outstanding together.

How Large Is the Proposed Issuance?

Initial information reported in September indicated an issuance of up to approximately 7.88 billion new shares at Rp2,150 per share. If all shares were issued at that price, the approximate maximum issuance value would be:

7.88 billion shares × Rp2,150 = approximately Rp16.94 trillion.

This is an illustrative maximum based on a rounded share count. The final amount depends on the final terms and the actual issuance. It also does not mean Ultrajaya would receive the entire Rp16.94 trillion in cash, because the proposal includes an in-kind contribution.

The same report put the share-swap transaction value at around Rp14.57 trillion. That figure should be evaluated alongside the transaction documents and valuation used by the company. It should not be treated automatically as an increase in earnings or cash received.

What Could Change for Shareholders?

A. Ownership Could Be Diluted

Dilution occurs when the number of shares outstanding increases while an investor’s own shareholding stays the same. The investor then owns a smaller percentage of the company.

For example, if the maximum issuance resulted in 43.11% dilution and an investor did not acquire new shares, an initial 1% holding would theoretically fall to around 0.5689%. This illustration assumes the maximum issuance; the number of shares ultimately issued may differ.

A smaller ownership percentage does not automatically mean a 43.11% loss in share price. Market pricing also depends on the value of the assets received, business performance, transaction terms, and demand for the shares.

B. Eligible Shareholders Need to Review Their Choices

Shareholders entitled to participate should check the final schedule, rights ratio, exercise price, and prospectus. Exercising rights requires additional funds. Allowing the rights to expire may reduce the shareholder’s percentage ownership.

The rights may also be transferable or tradable under the announced rules. Shareholders should not assume that they can sell their rights at a particular price or that a buyer will always be available.

C. Control Would Change Only After Completion

FrieslandCampina says it will obtain a controlling interest in Ultrajaya, effective only once the transaction is completed. IDNFinancials reported a projected stake of approximately 28.95% to 30.81% for FrieslandCampina International Holding, depending on public shareholder participation.

Those percentages were projections based on the proposal available at the time. Whether a party has control must be assessed under the transaction structure and relevant disclosures, rather than solely by checking whether ownership exceeds 50%.

D. Business Performance Requires Further Evidence

Frisian Flag Indonesia’s inclusion could change the group’s business mix, but the economic effect needs to be assessed through financial reports after completion. Revenue, margins, liabilities, costs, and the execution of business cooperation will all matter.

A large acquisition value does not guarantee higher earnings per share. The larger number of shares outstanding must also be included in that calculation.

What Should Investors Watch After the Meeting?

The meeting result will show whether shareholders approve the proposed agenda items. The next documents to watch are the final rights issue prospectus, the actual number of shares to be issued, the implementation schedule, and confirmation of the required approvals.

FrieslandCampina has also referred to a mandatory tender offer following the change of control, subject to applicable rules. Its price, timetable, and conditions require a formal announcement. A tender offer does not mean every shareholder must sell.

The key question is therefore broader than whether the transaction closes. Investors will also need to assess how many new shares are issued, what assets Ultrajaya receives, and how the combined business affects performance per share.
